SeaTwirl AB (publ) ("SeaTwirl" eller "Bolaget") meddelar att huvudägaren Knut Claessons och Caroline von Otter-Claessons Stiftelse, delar av styrelse, advisory board, ledning och personal avser nyttja befintliga och förvärvade teckningsoptioner av serie TO3 motsvarande en investering om cirka 5,4 MSEK i pågående nyttjandeperiod. Totalt avser de att nyttja 523 768 teckningsoptioner av serie TO3 för teckning av 261 884 aktier i SeaTwirl, motsvarandes cirka 32 procent av det totala antalet utestående teckningsoptioner av serie TO3.
SeaTwirl AB (publ) ("SeaTwirl" eller "Bolaget") emitterade i samband med en företrädesemission under det första kvartalet 2023 teckningsoptioner av serie TO3. Två teckningsoptioner ger rätt att teckna en (1) ny aktie i Bolaget. Teckningskursen för optionerna av serie TO3 fastställdes till 70 procent av den volymviktade genomsnittskursen i Bolagets aktie på Nasdaq First North Growth Market under mätperioden från och med den 17 maj 2023 till och med 31 maj 2023, dock lägst en (1) krona. Den volymviktade genomsnittskursen i Bolagets aktie uppgick under mätperioden till cirka 29,53 SEK och således är teckningskursen fastställd till 20,67 SEK. Nyttjandeperioden för teckningsoptioner av serie TO3 pågår från och med den 5 juni 2023 till och med den 19 juni 2023.
